TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUEZZLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO:

IN NO EVENT SHALL TRUEZZLE'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO TRUEZZLE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless TruEzzle and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of third parties
• Your User Content

14.2 By Us

• Conduct harmful to TruEzzle or other users
• Extended periods of inactivity
• Technical or security concerns

14.3 Effects of Termination

Upon termination, your right to use the Services immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Jurisdiction

You agree that any legal action or proceeding arising from or related to these Terms or the Services shall be brought exclusively in the courts located in Nova Scotia, Canada, and you consent to the personal jurisdiction of such courts.

15.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us to attempt to resolve any dispute informally. Many disputes can be resolved through direct communication.

16. Miscellaneous Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TruEzzle regarding the Services and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to reflect the parties' intentions to the maximum extent permitted by law.

16.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.

16.5 Force Majeure

TruEzzle shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, or government actions.
